Agent License Agreement (EULA)

Subject to this EULA and any applicable subscription, MoniShield grants you a limited, revocable, non-exclusive, non-transferable license to install and run the Agent on systems you own or control, solely to connect those systems to the MoniShield Service for monitoring. This license does not permit use by direct competitors of MoniShield to build a competing product.

You will not: copy, distribute, sublicense, sell, or make the Agent available to third parties except as expressly permitted; modify or create derivative works of the Agent; reverse engineer, decompile, or disassemble the Agent except to the extent applicable law expressly permits; remove proprietary notices; or use the Agent to develop a competing product or for benchmarking disclosed without our consent. You are responsible for use of the Agent by anyone acting on your behalf.

The Agent is licensed, not sold. MoniShield and its licensors retain all right, title, and interest in and to the Agent, including all intellectual property rights. You acquire no rights except the limited license expressly granted here.

The Agent may include open-source or third-party components distributed under their own license terms. Those terms govern your use of those components and, where they conflict with this EULA, control for that component. Notices and licenses for such components are provided with the Agent or on request.

We may provide updates, patches, or new versions of the Agent. Some updates may be necessary for security, compatibility, or continued operation of the Service, and we recommend keeping the Agent current. Updates are subject to this EULA unless accompanied by separate terms.

The Agent collects and transmits infrastructure telemetry (such as metrics, logs, and metadata) from the systems where it runs to the MoniShield Service to provide monitoring. Handling of this data is described in our Privacy Policy and Terms of Service. You are responsible for configuring what the Agent collects and for not transmitting sensitive personal data except where masking or filtering controls are available and enabled.

You are responsible for securely deploying and configuring the Agent, for the systems on which it runs, for access controls and credentials, and for any fees due under your subscription. You must comply with applicable laws in your use of the Agent.

This EULA applies while you use the Agent and terminates when your subscription ends, when you stop using and remove the Agent, or upon breach of this EULA. On termination, you must stop using and delete all copies of the Agent. Sections that by their nature should survive will survive.

The Agent is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Agent will be uninterrupted, error-free, or free of harmful components.

To the maximum extent permitted by law, MoniShield will not be liable for indirect, incidental, special, or consequential damages, or lost profits or data, arising from your use of the Agent. Our aggregate liability relating to the Agent is subject to the limitations in our Terms of Service.

You will defend and indemnify MoniShield from third-party claims arising out of your use of the Agent in breach of this EULA or applicable law, or that infringe the rights of a third party.

You will comply with all applicable export control and sanctions laws in your use of the Agent and will not export, re-export, or make it available in violation of those laws, including to embargoed or sanctioned territories or parties.

The Agent is a “commercial” item provided with only the rights granted under this EULA. Use by U.S. Government entities is subject to this EULA to the extent permitted by applicable law.

This EULA is governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules, and you submit to the exclusive jurisdiction of the courts located there, except where mandatory law provides otherwise. If any provision is unenforceable, it will be limited to the minimum extent necessary and the rest will remain in effect. Failure to enforce a right is not a waiver. We may update this EULA from time to time; material changes will be posted here with a revised date, and continued use of the Agent constitutes acceptance. Notices to MoniShield may be sent to legal@monishield.com. This EULA, together with the Terms of Service and Privacy Policy, is the entire agreement regarding the Agent.
